China Voice Holding Corp. (CHVC.PK) Announces First Order for SKY O/A with Integrated Digital Voice Services under New China Unicom Ltd. Agreement

China Voice Holding Corp.’s China subsidiary, Beijing CandidSoft Technology Co. Ltd., received its first order from China Unicom for CandidSoft’s patented/copyrighted SKY O/A Office Automation with integrated Digital Voice Application under their new agreement announced previously this month. The installation of these services is for a government education project in the County of ChongZuo in Guangxi Province.

According to the press release, this government education project requires a complete revamp of communications infrastructure in all education related facilities including installation of high speed Internet connections and SKY O/A to provide telephone services, fax and data service for a Unified messaging solution.

CHVC’s President and CEO, Bill Burbank, said, “This installation will enable the sharing of resources and knowledge through an integrated network of services managed by the SKY O/A platform, which provides real-time communication means to facilitate a ‘connected’ teaching and learning environment. We are excited about this new application for our technology and believe that it opens up a whole new market for us.”

He continued, “The initial rollout will be for the teaching staff of approximately two thousand; however, China Unicom believes that the project will eventually extend to include students. The financial details and project plan will be confirmed during the month of August with installations projected to take place by mid September.”

Ltd., has signed an agreement with China Unicom Ltd. to private label its patented/copyrighted SKY O/A Office Automation with integrated Digital Voice Application. The revenue sharing agreement provides for installation and support of the company’s current Chinese Government and large enterprise customer contracts in the Guangxi Province. This 9 year agreement will operate simultaneously with CandidSoft’s previously announced agreement with China Netcom.

China Voice Holding Corp. (CHVC.PK) Strengthens Cash Position through Divestment of U.S. Operating Subsidiaries

China Voice Holding Corp. announced that it will receive $10 million in cash over the next two years as well as receive up to 21 million shares of FLTT valued at approximately $8 million in exchange for its U.S. operating subsidiaries and 15,000,000 shares of CHVC common stock. The transaction provides China Voice with additional capital to take advantage of synergistic opportunities in China. The company intends to continue to maintain offices in the United States and will retain most of their key Executives and Board of Directors.

China Voice President and CEO, Bill Burbank said, “This cash and stock transaction provides capital resources to fund our move onto a new trading exchange and beyond as well as additional funds for software development to support the Company’s current and new China Unicom cellular opportunities in China. While this transaction reduces most of CHVC’s current sales revenue, it will however enable the Company to streamline its global operations and eliminate much of the associated costs in the U.S. With the immediate and additional investment into China, CHVC expects to quickly ramp sales and to be profitable by mid-2009.”

“The Flint Telecom Group is a well funded company with plans to move to the American Stock Exchange, now called the NYSE Alternext Exchange. Flint’s telecommunications network, technology and enhanced services platform allow Flint to produce various products and services which will generate higher profit margins than CHVC was able to achieve with its U.S. operations. The transaction is a true ‘win-win’ for both companies. We also expect to realize substantial future growth in our investment in Flint,” he continued.

China Voice Holding’s wholly owned subsidiary StarCom Alliance, Inc entered into an exclusive distribution agreement with Power Prepaid Phone Card Distribution based out of Fullerton, California. They are a Master Distributer of prepaid cellular cards and products that enable customers to make calls worldwide in a cost efficient manner.

CEO of China Voice Holding Corp. said, “Having completed extensive negotiations with Power Distribution, we are very pleased to have executed this Agreement. Power Distribution is a well-known and respected Company focused solely on prepaid cellular products and is currently purchasing in excess of $25 Million of product annually. We anticipate that with our support infrastructure and financial resources, Power Distribution will purchase more than $40 Million of our StarCom Alliance products in the next 12 months. Prepaid Cellular is among the fastest growing segments of the telecommunications industry targeting a very large credit-challenged population.”

He also added, “We are also in the final stages of negotiating Exclusive Supplier Agreements with three additional companies located in California that are focused primarily on the Prepaid Calling Card business and together generate over $35 Million annually in revenue, which if completed would boost our U.S. revenues to over $100 Million. In a statement to shareholders, China Voice Holding Corp. released a progress report and recap of 2007 highlights, forecasting continued growth for 2008. A review of last year includes the acquisition of three companies, multiple advances and new contracts through the company’s two new subsidiaries.

“We are grateful to our shareholders, employees and business partners for their support, hard work and confidence in our company and management team during the past year. Without their commitment to CHVC, none of our progress would have been possible. We are looking forward to continued success and a very strong 2008,” Bill Burbank, CHVC’s president and CEO said in the statement.

Among other highlights, China Voice Holding noted its signed agreements with China’s second-largest telecommunications carrier, China Netcom (CNC). China Netcom also chose the Company’s Candidsoft’s SKY O/A voice and data solution for private labeling and will be sold to the private sector.

A signed partnership and revenue sharing agreement with Golden Agriculture Access allows for the supply of CandidSoft’s SKY O/A Enhanced Services Platform and will help the company exchange its informational Web site for a transactional site that will create additional revenue.

Beijing Muncipal Water Bureau Awards China Voice Holding Corp. (CHVC.PK) with Second Contract

LTD, has scored a second contract from the Beijing Municipal Water Bureau for Command Center system consulting implementation services. The anticipated value of the contract is $400,000.00.

The Chinese subsidiary’s CEO, Jin Wang, stated, “This additional contract was awarded to our Company because the completion of our original contract was ahead of schedule and achieved positive results. Ltd. has been given a $6.5 million initial budget for its SKY O/A private branded licenses through June of next year. The Company recently announced the signing ceremony with CNC of Guang Xi Province.

The CEO & President of China Voice Holding stated, “CNC has budgeted up to $500,000 for the remainder of 2007, and up to an additional $6,000,000 through June, 2008 for SKY O/A software licenses.
