Simulated Environment Concepts, Inc. (SMEV) Adds to Distribution Network; Expands in Canadian Market

Simulated Environment Concepts, Inc. (SMEV) Recent Interview Discusses Acquisition/Merger Possibilities and Share Reduction

When SE Concepts, makers of the SpaCapsule self-contained water massage and sensory stimulation system, recently issued a press release indicating that they were going to reduce the number of authorized shares, also suggesting that there may be a merger/acquisition in the works at some point, it generated a lot of questions and interest on the part of investors. As a result, Allen Licht, the company’s COO, sat down with OTCVoice.com to clarify and discuss the news.

The first thing addressed was the share reduction, which some people had mistaken for a reverse stock split, which it is not. Authorized shares represent the maximum number of shares that a company is formally authorized to issue, a number usually far greater than the number of shares actually issued. The remaining un-issued shares can be used for stock options or other purposes. It’s a move that has been requested by shareholders, and is part of an overall plan to improve the financial presence of the company.

Mr. Licht also verified that the company is currently in the preliminary stages of negotiating some sort of acquisition or merger, though he was not providing details at this point. He indicated that the possibility arose from the company’s well-received attendance at the NEAA conference in New York in June, where senior investors clearly recognized the potential of the SpaCapsule market.

Simulated Environment Concepts, Inc. (SMEV) Begins Reducing Authorized Shares

Simulated Environment Concepts, Inc., the manufacturer and developer of medical, aesthetic, weight loss, wellness, and slimming equipment, announced that it has officially began the first phase of the recently announced authorized share reduction plan. Authorized shares have now been reduced by two billion shares with the second phase targeting an additional 4 billion shares.

Dr. Ella Frenkel, President, CEO and Co-Founder of Simulated Environment Concepts (SE Concepts) stated, “The first phase of our plan provided room to make an initial reduction of nearly 20% in authorized shares. As we continue rolling through the auditing processes to completion, we will be better positioned to identify how many additional shares can be eliminated from the authorized share count within the second phase of our plan.”

In order to achieve the next phase of reduction, it is assumed that a further decrease in Directors’ equity holdings will be required. During the current phase, the reduction in Preferred Share holdings from Directors permitted elimination of authorized common stock.

According to today’s release, it is anticipated that SE Concepts will eventually reduce its authorized share count to roughly three billion shares. It is also expected that the audit will reach completion, the company will secure significant financing and that the company will be engaged in the completion of a possible merger/acquisition by the time its target authorized share amount is achieved.

Simulated Environment Concepts, Inc. (SMEV) Announces Plan to Reduce Authorized Shares

Simulated Environment Concepts, the manufacturer and developer of medical, aesthetic, weight loss, wellness, and slimming equipment, this morning announced that it will be seeking to reduce its authorized shares by the end of this month.

Dr. Ella Frenkel, President, CEO and Co-Founder of Simulated Environment Concepts (SE Concepts) commented, “I am a vested shareholder just as many of our investors. Where there is market dilution, I hear about it from our shareholders. When there is a decrease in share value, it affects me personally as well, and where necessary action must be taken to override current perception, I will take the appropriate measures as circumstance permits and do so to the best of my ability. In this instance, we are responding to our shareholders and we are beginning to initiate a multiphase plan to reduce the current Authorized Share amount.”

Along with other initiatives, reducing the authorized shares was one of the tasks to be addressed during the last shareholder conference call. In the press release it was indicated that the intent is to bring the authorized share amount to the low 10 digits, which will have to be accomplished in phases. The reduction in authorized shares is another testament of Simulated Environment Concepts (SE Concepts) promises coming to fruition.

Allen Licht, Chief Operating Officer of SE Concepts, added, “As we are working through the data for the audit, we’ve been able to identify several reasonable methods of protecting company’s interest while also further securing the interest of fellow investors and shareholders. Simulated Environment Concepts (SMEV) Prospects Recognized by Grass Roots Research Report

When Grass Roots Research, an arm of Cohen Independent Research, recently issued their analyst report on SE Concepts, makers of the SpaCapsule automated massage and sensory stimulation system, it did a thorough job of detailing the company’s strengths, but also laid out major differences between the company and a primary competitor.

The company’s strengths are centered around the doctor-led management team and scalable business model, as well as SpaCapsule’s multi-market appeal. SpaCapsule offers users a relaxing and de-stressing clothes-on water massage, combined with video, audio, and even aroma stimulation. Its recreational appeal is obvious, but SpaCapsule, designed by doctors, has been shown to also offer pain relief, toning, and even weight-loss benefits. As a result, SpaCapsule has managed to penetrate multiple overlapping markets, and this was highlighted by the report.

• Physical Therapy: This represents a $10 billion dollar market in the U.S. alone.
• Weight Loss: Treatment for obesity represents $147 billion dollars in domestic healthcare cost annually, with well over 3,000 facilities dedicated to offering services for weight control.
• Fitness Centers: Fitness centers account for nearly $15 billion dollars in domestic revenues, with nearly 25,000 such centers across the country.

VelaShapeTM is an FDA cleared device that, according to its website, contours, shapes, and slims the body by reducing cellulite and firming problem areas. The system is supposedly used by over 10,000 patients daily on a worldwide basis, helping to give Syneron Medical, makers of VeleShape, a market cap of close to $500 million. It gives a better idea of the size of at least one of the available markets, all the more important when you consider that VeleShape, a handheld device that uses a combination of radio frequency and infrared light and mechanical massage, is seemingly more effective when administered by another person. In addition, VeleShape has less appeal to the other markets that represent a significant part of SpaCapsule’s potential.

SE Concepts concludes that, with expected total sales over the next four years topping $27 million, the longer term potential of generating $20 million in annual sales now appears to be a definite possibility.

Simulated Environment Concepts, Inc. (SMEV) Announces Major Change to Compensation Method

Simulated Environment Concepts, Inc. announced this morning that in most cases it will now utilize preferred shares to compensate all of its service providers, particularly its IR/PR professionals, in an effort to largely eliminate the use of common stock as a means of payment. This change will not only reduce the expense associated with issuing common stock, but also keep the Issued and Outstanding average rate of increase substantially lower and encourage service providers to take a long term position within the company.

Dr. Ella Frenkel, President and CEO of Simulated Environment Concepts (SE Concepts), stated, “As with any public company, especially small caps, there is a cost associated with acquiring the services of consultants to assist the company with developing and implementing its business plan. This is especially true where we are educating prospective investors through IR/PR marketing services. Though the overall cost of consultants can be rather expensive, we believe it should not drain the company’s resources or be detrimental to our investors.”

Nearly all of the groups engaged by SE Concepts for various awareness and business consulting services have agreed to a preferred share payment method. The company believes expectations of increased corporate activity, more distributorships, and additional established preferred vendor and co-branding relationships have influenced business and awareness consultants to make the gesture of confidence in accepting the preferred stock payment.
