StreamTrack, Inc. (STTK) Eliminates Royalty Liability of Potentially $2.5 Million

StreamTrack, a digital media technology services company operating within the internet radio and streaming media sectors, today announced execution of a settlement agreement with Lenco Mobile, Inc. (“Lenco”), the former owner of the company’s proprietary Radioloyalty™ music streaming and internet radio monetization platform. The following is a summary of the key attributes of the transaction.

1. StreamTrack’s liability to Lenco for any earn-out consideration associated with the assets the Company purchased from Lenco in December 2011 is cancelled in full. StreamTrack will write off the current full value of the contingent royalty payable of approximately $820,000.

2. StreamTrack will waive its claim to collect on approximately $130,000 in accounts receivable owed from Lenco, of which an $80,000 reserve was previously recorded against.

3. StreamTrack will transfer to Lenco certain assets included in the December 2011 transaction that have remained dormant and not utilized by the Company since December 2011. The assets were previously recorded on StreamTrack’s books with no value.

Michael Hill, Chief Executive Officer of StreamTrack, commented, “The settlement with Lenco removes a significant liability from our balance sheet that could have ultimately totaled $2,500,000. The assets we relinquished have little value to our core business but have particular value to Lenco. “The cornerstone of our business model is currently built on leveraging our unique, patent-pending video in-stream technology to replace audio advertisements for listeners viewing through our desktop UniversalPlayer™,” STTK CEO Michael Hill said in the press release. “While this technology results in superior revenue for online listening, there is still a large amount of listening occurring outside of the online environment through automobiles, and other streaming platforms including iTunes.”

Hill further explained that, “This integration adds an entirely new revenue stream to our business model. By integrating TargetSpot all people listening outside of our online UniversalPlayer™, will now be able to be presented TargetSpot advertisements. StreamTrack, Inc. (STTK) Subsidiary Signs Agreement to Add Over 3,000 Stations

Today before the opening bell, StreamTrack announced that its subsidiary, StreamTrack Media, Inc., has entered into a two-year licensing agreement with RadioReference, LLC.

RadioReference has agreed to utilize the RadioLoyalty Platform™ for radio broadcast monetization of numerous licensed stations. SreamTrack anticipates completing the integration by July 15, 2013. The addition will increase RadioLoyalty Platform’s total count to approximately 5,000 stations.

The world’s largest radio communications data provider, RadioReference features a complete frequency database, trunked radio system information, and FCC license data. The company is also recognized as the largest broadcaster of public safety live audio communications feeds, hosting thousands of live audio broadcasts of Police, Fire, EMS, Railroad, and aircraft communications.
